Last updated: January 2025

Welcome to PDFToolKit. These Terms of Service (“Terms”) govern your access to and use of the PDFToolKit website and all online tools provided through it (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By accessing our website at pdftoolkit.com and using any of our tools, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to modify these Terms at any time. Changes become effective when posted on this page. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

2. Description of Service

PDFToolKit provides a collection of free online tools for working with PDF and other document files. These tools include, but are not limited to, merging, splitting, compressing, converting, editing, signing, protecting, and unlocking PDF files. All tools operate using client-side JavaScript technology, meaning that file processing occurs entirely within your web browser and on your local device. We do not upload, receive, process, or store your files on our servers.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
  • Use the Service to process documents that you do not have the legal right to access, modify, or distribute.
  • Attempt to interfere with, compromise the security of, or disrupt the Service or any server, network, or database connected to the Service.
  • Use any automated means, including bots, scrapers, or spiders, to access the Service for any purpose without our express written permission.
  • Attempt to reverse engineer, decompile, or disassemble any portion of the Service’s source code.
  • Use the Service to distribute malware, viruses, or any other harmful computer code.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of PDFToolKit and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. The open-source JavaScript libraries used by our tools are subject to their respective licenses.

5. User Content and Files

Since all file processing occurs in your browser, we do not access, collect, or store any files you process using our tools. You retain full ownership of and responsibility for all files you process. You represent and warrant that you have all necessary rights and permissions to process the files you use with our tools. We are not responsible for the content of any files processed through the Service.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY RESULTS PRODUCED BY THE TOOLS.

File processing results may vary depending on the complexity of your documents, your browser, and your device capabilities. We recommend keeping backup copies of your original files before processing them with any tool.

7. Limitation of Liability

IN NO EVENT SHALL PDFTOOLKIT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

8. Indemnification

You agree to defend, indemnify, and hold harmless PDFToolKit and its licensors, service providers, employees, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Advertising

The Service may display advertisements provided by third-party advertising networks, including Google AdSense. These advertisements help us provide the Service for free. By using the Service, you acknowledge and agree that third-party advertisements may be displayed alongside our tools and content. The display of advertisements does not constitute an endorsement of the advertised products or services.

10. External Links

The Service may contain links to third-party websites or services that are not owned or controlled by PDFToolKit. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party content, goods, or services.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
